Terms of Service

Welcome to TunedBooks. These Terms of Service ("Terms") are a legal agreement between you ("User", "you", or "your") and Tuned Digital Solutions Limited ("TunedBooks", "we", "us", or "our"), a company registered in Nigeria (RC 9022196) with a UK entity (Tuned Digital Solutions UK Limited, registered at Companies House).

For UK users, these Terms are subject to applicable UK law including the Consumer Rights Act 2015, the Digital Markets, Competition and Consumers Act 2024, and UK GDPR.

By creating an account or using TunedBooks, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our service.

TunedBooks is a Software-as-a-Service (SaaS) platform providing business management, invoicing, record-keeping, and tax compliance tools for small and medium enterprises globally.

You must be at least 18 years old to use TunedBooks. By using our service, you confirm you are 18 or over and legally authorised to enter into this agreement.

TunedBooks is intended for business use. You represent that you are authorised to bind your business to these Terms.

To use TunedBooks, you must register with accurate and complete information. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.

You must notify us immediately at support@tunedbooks.online of any unauthorised use of your account. We are not liable for losses caused by unauthorised access resulting from your failure to keep credentials secure.

TunedBooks offers subscription plans with different features. Prices are shown in the app and on our website in your local currency.

You own all data you input into TunedBooks, including business transactions, customer information, and financial records. We do not claim ownership of your business data.

We will NEVER sell your business data to third parties.

You can export all your data at any time (Settings → Export Data) and delete your account and associated data at any time (Settings → Delete Account).

TunedBooks processes personal data in compliance with:

• UK General Data Protection Regulation (UK GDPR) and Data Protection Act 2018 UK users

• Nigeria Data Protection Act (NDPA) 2023 Nigerian users

• Applicable data protection laws in other jurisdictions

Our full Privacy Policy explains in detail what data we collect, why, how long we retain it, and your rights including the right to access, correct, export, and delete your data.

UK users: you have the right to lodge a complaint with the ICO at ico.org.uk or 0303 123 1113.

Nigerian users: you have the right to lodge a complaint with the NDPC at ndpc.gov.ng.

For UK users who connect TunedBooks to HMRC for Making Tax Digital (MTD) compliance:

• • You authorise TunedBooks to submit VAT returns and Income Tax quarterly summaries to HMRC on your behalf via OAuth 2.0
• • You confirm all data submitted to HMRC is accurate and complete to the best of your knowledge
• • TunedBooks acts as your software agent you remain the taxpayer responsible for the accuracy of all returns submitted
• • Tax penalties or interest arising from inaccurate or incomplete data you provided are your responsibility, not TunedBooks's
• • TunedBooks never stores your HMRC username or password only a secure OAuth 2.0 access token
• • You may disconnect TunedBooks from HMRC at any time: Settings → HMRC Connection → Disconnect
• • UK law (Finance Act 2020) requires us to submit fraud prevention headers to HMRC with every API call, including device and connection information
• • MTD quarterly submissions are not a final annual tax return you may still need to complete a Self Assessment return

All rights in TunedBooks, including the software, design, branding, and content, are owned by Tuned Digital Solutions Limited or its licensors.

We grant you a limited, non-exclusive, non-transferable licence to use TunedBooks for your legitimate business purposes in accordance with these Terms.

You may NOT: copy, modify, reverse engineer, decompile, distribute, sell, or create derivative works from TunedBooks or any part of it.

You may use TunedBooks only for lawful business purposes in compliance with applicable law in your jurisdiction.

We strive to provide a reliable, high-quality service and will use reasonable endeavours to maintain service availability. However, we do not guarantee uninterrupted access.

The service may be temporarily unavailable due to: scheduled maintenance (with advance notice where possible), emergency repairs, force majeure events, or factors outside our reasonable control.

TunedBooks is provided on an "AS IS" and "AS AVAILABLE" basis. To the extent permitted by law, we exclude all implied warranties.

UK users: Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015, including your right to a service performed with reasonable care and skill.

TunedBooks is a business management and record-keeping tool, not tax advice software.

UK users: TunedBooks submits MTD VAT returns and quarterly Income Tax summaries to HMRC on your behalf when you authorise it. This does not replace the need for a qualified UK accountant or tax advisor for complex tax matters or annual returns.

Nigerian users: TunedBooks helps you organise records for FIRS compliance. You must use official FIRS systems for e-invoicing submission. We are not responsible for penalties arising from incorrect filings.

Global users: You are solely responsible for understanding and complying with the tax laws of your jurisdiction.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TunedBooks and its directors, employees, and affiliates are NOT liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or tax penalties arising from your use of the service.

Nothing in these Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; any liability that cannot be excluded by applicable law.

UK users: Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015.

Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the greater of: (a) the total subscription fees you paid to us in the 12 months immediately before the claim arose, or (b) £100 (GBP) / ₦100,000 (NGN), whichever is greater.

You agree to indemnify, defend, and hold harmless Tuned Digital Solutions Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from: your use or misuse of TunedBooks; your violation of these Terms; your violation of applicable law; or inaccurate data you submitted to HMRC or any tax authority via TunedBooks.

You may terminate your account at any time through Settings → Delete Account. We will delete your personal profile data within 30 days. Financial records will be retained for 7 years as required by applicable tax law.

We may suspend or terminate your account immediately for: material breach of these Terms; illegal activity; non-payment of subscription fees; or any conduct we reasonably believe poses a risk to TunedBooks or other users.

On termination, your licence to use TunedBooks ceases immediately. We strongly recommend exporting your data before terminating your account.

UK users: These Terms are subject to applicable UK consumer law. UK consumers may use the UK's Alternative Dispute Resolution (ADR) schemes. Nothing in these Terms prevents you from bringing proceedings in a UK court.

Nigerian users: Disputes shall be resolved under Nigerian law through informal negotiation first (30 days), then optional arbitration under Nigerian law, or through Nigerian courts.

All other users: Disputes are governed by Nigerian law unless your local mandatory consumer protection laws provide otherwise. You may bring proceedings in your local courts where applicable consumer law requires.

Class action waiver: You agree to resolve disputes individually, not as part of a class action, to the extent permitted by applicable law.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TunedBooks.

We may update these Terms with at least 30 days' written notice via email and in-app notification. Continued use after the effective date constitutes acceptance.

If any provision of these Terms is found invalid or unenforceable by a court, that provision will be modified to the minimum extent necessary and the remaining provisions continue in full effect.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms do not create any partnership, employment, joint venture, or agency relationship between you and TunedBooks, except as expressly stated in Section 8.
